AT the end of the month, you have 3 options.

  • Decide to continue with the UVG platinum membership and enjoy all the benefits below. This will be done for you automatically at the end of the month, unless you advise us otherwise via phone or email. It is a monthly membership of $239 Inc GST a month.
  • Decide to take up the Gold Membership level instead. Please advice us that you wish to do this instead of the Platinum Membership at the end of your months trial via phone or email. It is a monthly membership of $139 Inc GST a month.
  • Decide to cancel your membership. Please advise us via phone or email and we will simply cancel your membership and advise wholesalers and manufacturers that you have cancelled. You get to keep everything we have sent you and all the valuable information you have gleaned during the trial.

Terms and Conditions
You should carefully read the following Terms and Conditions (also referred to as the “Terms of Use”, “Terms of Service” or “TOS”). Your use of our service(s) implies that you have read and accepted these Terms and Conditions. The Website (all websites may hereafter be referred to, both individually and collectively, as “The Website”) from which you accessed this agreement is provided to you subject to the conditions listed below. These terms are in addition to any other terms that individual Website owners within the may include for governing access to their Websites.
  1. MEMBERSHIP FEE

    2. The Member must pay the Monthly Membership Fee by the due date of each invoice in order to become and remain a Member.

  2. MEMBERSHIP SUBSCRIPTION

    3. A Member is offered a Platinum subscription for a 1 month trial period at the Introductory Price upon being accepted as a Member. On or before the end of the trial period the Member may cancel its membership or downgrade to a Gold subscription by notice to UVG. Otherwise the Member continues its Platinum subscription.

  3. PAYMENT

    4. The Monthly Membership Fee will automatically be debited from the credit card nominated by the Member. This process is initiated on a secure server with SSL authentication and then processed via a certified payment processing partner, e-way.

  4. TERM

    5. 4.1 Membership commences upon acceptance of these UVG Membership Terms and payment of the Monthly Membership Fee and continues until terminated in accordance with clause 4.2 or 4.3.

    4.2 UVG or the Member may terminate Membership by 3 months written notice to the other.

    4.3 UVG may (without prejudice to its other rights) terminate Membership with immediate effect by written notice to the Member if the Member is in breach of a term of the UVG Membership Terms and in that event the Member will not be entitled to a refund of any fees paid to UVG.

  5. ACCOUNT AND PASSWORD

    6. The Member is responsible for maintaining the confidentiality of its account and password and for restricting access to its computer. The Member is responsible for all activities that occur under its account and password.

  6. PREFERENTIAL PRICING

    7. 6.1 Subject to payment of the Monthly Membership Fee, UVG will provide the Member with details of the Preferential Pricing and the list of Preferred Manufacturers and Suppliers.

    6.2 Members are not obliged to use Preferred Manufacturers and Suppliers but may do so at their absolute discretion.

  7. TURNOVER INFORMATION

    8. Members agree:

    7.1 that UVG can provide information collected by UVG in relation to turnover to Preferred Manufacturers and Suppliers in order for UVG to negotiate preferential pricing and deals;

    7.2 that the Preferred Manufacturers and Suppliers can supply information regarding the Member’s turnover to UVG for the purpose of negotiating preferential pricing and deals and calculating rebates.

  8. PREFERRED MANUFACTURERS AND SUPPLIERS’ TERMS AND CONDITIONS

    9. In the event that a Member purchases products from a Preferred Manufacturer and Supplier it agrees to be bound by the terms and conditions of that Preferred Manufacturer and Supplier and acknowledges that UVG is not responsible for any claims or actions resulting from a failure to observe or trade within those terms and conditions.

  9. UVG RUNNING EXPENSES

    10. 9.1 UVG and/or its Related Entities reserve the right to negotiate rebates from Preferred Manufacturers and Suppliers to fund the activities of UVG.

    9.2 The Member acknowledges that UVG and/or its Related Entities may receive a rebate, commission or other valuable consideration from a Preferred Manufacturer and Supplier in return for referring Members to it or recommending its products to Members.

  10. RESTRICTIONS

    11. 10.1 The Member agrees during the Term and during the Restraint Period not to:

                   10.1.1 disclose the Price List to any other business, supplier or veterinary clinic;

                   10.1.2 use the Price List or refer to it in negotiations with persons that are not Preferred Manufacturers and Suppliers;

                   10.1.3 attempt to access the Preferential Pricing if it is in default of payment of the Monthly Membership Fee or if membership has                expired or been terminated.

  11. CONFIDENTIALITY OF INFORMATION

    12. 11.1 The Member must keep the Confidential Information confidential. The Member must not disclose Confidential Information to third parties unless:

                   11.1.1 first authorised in writing by UVG; or

                   11.1.2 it is required to be disclosed by law.

    11.2 The Member upon the written request of UVG, at the Member’s own expense must immediately deliver to UVG all records and materials (and copies of those records and materials) containing or embodying the Confidential Information that are in the possession of the Member, its employees and any person to whom the Member has disclosed all or any of the Confidential Information (whether or not with the consent of UVG).

  12. PRIVACY

    13. The Member acknowledges that it has read and accepted UVG’s privacy policy which can be found at www. [insert link to privacy policy]

  13. INDEMNITY

    14. The Member indemnifies UVG against all costs, expenses, actions or claims directly or indirectly incurred or suffered by UVG as a result of any breach of the UVG Membership Terms by the Member.

  14. GST

    15. All money payable by the Member to UVG is exclusive of GST unless expressly stated otherwise. Liability for GST (payable in respect of any taxable supply) is additional. It is payable by the Member to UVG at the same time as the relevant money is payable.

  15. NO PARTNERSHIP

    16. The UVG Membership Terms do not constitute and neither the Member or UVG represents that they are a joint venturer, partner, agent, employee, franchisee, shareholder or fiduciary of the other.

  16. SEVERANCE OF TERMS

    17. If a clause of the UVG Membership Terms is held or deemed invalid or unenforceable then that clause or part of it is deemed deleted from this agreement and the agreement otherwise remains in full force and effect.

  17. WHOLE AGREEMENT

    18. The UVG Membership Terms constitute the whole agreement between the Member and UVG to the exclusion of other agreements, representations or warranties.

  18. DEFINITIONS

    19. 18.1 The following words have the following meanings in these UVG Membership Terms:

                   18.1.1 Confidential Information means the secrets, ideas, know how, concepts, drawings, plans, specifications and information                whether in writing or otherwise relating to UVG and all other information relating to UVG and it’s affairs or businesses, sales,                marketing or promotional information, which is not in the public domain;

                   18.1.2 Introductory Fee means $13.50 (including GST);

                   18.1.3 GST means goods and services tax or like impost;

                   18.1.4 Member means a person that meets UVG’s requirements from time to time to be a member (as determined by UVG at its                absolute discretion);

                   18.1.5 Monthly Membership Fee means $239 (including GST) for Platinum subscription and $139 (including GST) for Gold                subscription;

                   18.1.6 Preferential Pricing means preferential pricing for veterinary products made available to UVG Members;

                   18.1.7 Preferred Manufacturers and Suppliers means manufacturers and suppliers that UVG has negotiated Preferential Pricing with                from time to time;

                   18.1.8 Price List means a list of Preferential Pricing;

                   18.1.9 Related Entity has the same meaning as in the Corporations Act 2001 (Cth);

                   18.1.10 Restraint Period means the period of 24 months commencing on the date that the Member ceases to be a member;

                   18.1.11 Term means the period of membership determined in accordance with clause 4;
